TERMS AND CONDITIONS

1. Introductory Provisions and Operator

These Terms and Conditions (hereinafter referred to as the “Terms”) govern the contractual relationship, rights, and obligations between the operator and users of the mobile application ZDrive App All In One (hereinafter referred to as the “Application”).

By downloading, registering for, or using the Application, the user expresses full agreement with these Terms.

2. Scope of Services

ZDrive App All In One is a multifunctional digital platform operating in the Czech Republic that facilitates the following services:

Taxi service: On-demand passenger transportation.
Carpooling: Sharing journeys between independent drivers and passengers for the purpose of sharing travel costs.
Food delivery: Ordering and delivery of food and beverages from partner restaurants.
Parcel delivery: Courier services for the transportation of small and medium-sized parcels.
Moving services: Transportation and moving of large items, furniture, or personal belongings.

The Operator primarily acts as an intermediary through a digital platform connecting users (customers) with independent drivers, couriers, and partner service providers (collectively referred to as the “Partners”), unless it is expressly stated that the service is provided directly by the Operator.

3. Specific Rules for Individual Services

3.1 Taxi Service and Carpooling

Taxi regulation: All taxi rides ordered through the platform comply with the requirements of Czech Act No. 111/1994 Coll., on Road Transport. The price is calculated transparently in the Application before the ride is confirmed.
Nature of carpooling: Carpooling is intended exclusively for sharing travel costs. Drivers using the carpooling function must not carry out this activity for the purpose of generating profit.

The Operator is not a contractual party between the driver and the passenger and is not responsible for the course of the carpooling journey.

3.2 Food Delivery and Parcel Delivery

Age-restricted goods: If a food or parcel order contains alcohol, tobacco products, or other age-restricted goods, such goods will only be handed over to a person over 18 years of age after age verification using a valid identity document.
Prohibited cargo: Users must not use the platform to transport dangerous substances, illegal items, weapons, or items exceeding the weight or size limits set in the Application.

3.3 Moving Services

Preparation: The user must ensure that items to be moved are safely packed, accessible, and do not endanger the safety of the crew.
Valuable items: The user must notify the Operator in advance of the transportation of fragile or high-value items. Liability for damage is governed by the insurance level selected during booking.

4. User Accounts and Registration

Accuracy of information: Users must provide accurate, truthful, and complete information during registration, including their telephone number and payment details.
Security: The user is fully responsible for keeping their login credentials confidential.
Account suspension or deletion: The Operator reserves the right to block or delete accounts that violate Czech law, accepted standards of conduct, commit fraud, or breach these Terms.

5. Payment Terms and Invoicing

Prices: All prices, any dynamic surcharges during peak periods, and delivery fees are displayed in the Application before final confirmation of the order.
Currency: Payments are made in Czech crowns (Kč / CZK).
Payment methods: Payments are made using a payment card registered in the Application, digital wallets, or other permitted payment methods.
Invoicing: Tax documents, invoices, and receipts corresponding to VAT ID 6803222602 are issued electronically and sent to the user by email or stored in the Application.

6. Consumer Rights and Withdrawal from the Contract

Immediate performance: If the user requests immediate provision of a service, for example the immediate arrival of a taxi or the start of food preparation, the user acknowledges that under Section 1837 of the Czech Civil Code, Act No. 89/2012 Coll., the standard 14-day right of withdrawal without giving a reason is lost once the service has been fully performed or its performance has begun.
Cancellation fees: If the user cancels a ride, delivery, or moving service after a Partner has accepted the order and started travelling to the location, a cancellation fee may be charged to cover the Partner’s costs.

7. Limitation of Liability

The platform acts as a commercial intermediary collecting payments on behalf of third-party service providers, including drivers and restaurants.

In the event of any dispute, cancellation request, or refund claim, the user must contact the platform’s customer service exclusively through the Application.

No refund or financial compensation may be requested directly from third-party service providers.

Cancellation of Services

Food delivery: Due to the perishable nature of the goods, an order cannot be cancelled and no refund will be issued once the restaurant has accepted the order and started preparing it.
Taxi / Carpooling: Cancellation by the user more than 1 minute after booking, or failure to appear at the designated pickup point within 1 minute after the driver’s arrival without communication, may result in a cancellation fee or forfeiture of the full fare.

Disputes and Unauthorized Chargebacks

Any payment dispute or chargeback initiated by the user with their bank for a service that the platform has successfully tracked and verified, including but not limited to driver GPS records, delivery confirmation timestamps, or delivery photographs, will be considered a breach of these Terms.

The platform reserves the right to immediately suspend the user’s account and recover the full transaction amount together with any administrative fees incurred.

8. Intellectual Property

Ownership: All software, code, algorithms, designs, texts, graphics, and trademarks within the ZDrive Application are the exclusive intellectual property of the Operator.
Restrictions: Users must not reverse engineer, copy, distribute, or automatically download data from the Application through scraping without the Operator’s written consent.

9. Alternative Dispute Resolution (ADR)

If a consumer dispute cannot be resolved directly with the Operator:

The consumer has the right to seek alternative dispute resolution through the Czech Trade Inspection Authority (ČOI).

10. Final Provisions and Governing Law

These Terms are governed by and interpreted in accordance with the laws of the Czech Republic.

Any court disputes shall be resolved by the materially and territorially competent courts of the Czech Republic.

The operator of the ZDrive App All In One platform fully respects your privacy.

This Privacy Policy describes how we process users’ personal data in accordance with Regulation (EU) 2016/679 of the European Parliament and of the Council, known as the General Data Protection Regulation (GDPR), as well as applicable Czech personal data protection laws.

2. Categories of Personal Data Processed

We process only the data necessary for the operation of our taxi, carpooling, delivery, and moving services:

Identification data: First name, last name, and username.
Contact details: Email address and telephone number, required for account verification and communication with the driver or courier.
Geolocation data (GPS): Tracking of your location while the Application is in the foreground or background. Location data is collected to determine pickup points, track ride or delivery routes, and ensure safety.
Payment data: Payment card information. These data are securely tokenized and processed exclusively by a certified third-party payment provider. The Operator does not have direct access to your full payment card number.
Technical data: IP address, device type, operating system, and Application usage data.

3. Legal Basis and Purpose of Processing

Performance of a contract: Necessary for account registration, price calculation, matching users with a driver or courier, and providing the service.
Legitimate interest: Ensuring platform security, preventing fraud, and handling possible disputes or complaints.
Compliance with legal obligations: Issuing tax documents and invoices in accordance with Czech law.

4. Recipients of Personal Data

Your data are shared only to the minimum extent necessary:

Partner drivers and couriers: So that they know where to pick you up or where to deliver your parcel. Your name, telephone number, and GPS address may be shared.
Payment service providers: For secure processing of payments for rides and orders.
Public authorities: Only where required by law, for example the Police of the Czech Republic or the tax authorities.

5. Data Retention Period

We retain your data for the duration of your user account.

After account deletion, we retain only documents that must be kept under Czech accounting and tax laws, such as invoices, for a period of 10 years.

6. Your Rights

Under the GDPR, you have the right to:

Access your personal data and request correction.
Request deletion of your personal data, also known as the “right to be forgotten,” where the data are no longer required for performance of the contract.
Request restriction of processing and object to processing.
Lodge a complaint with the Czech Office for Personal Data Protection (ÚOOÚ) at Pplk. Sochora 27, 170 00 Prague 7, Czech Republic (www.uoou.cz).

REGISTRATION CONSENT CLAUSE

When a new user registers or launches the Application for the first time, the following text should be displayed below the registration form with an unchecked checkbox.

The checkbox must require an active action by the user.

By registering, I expressly agree to the Terms and Conditions and confirm that I have read the Privacy Policy (GDPR) of the ZDrive App All In One application. I acknowledge that the Application processes my geolocation data (GPS) for the purpose of providing transportation and delivery services.
